Super Llama Limited (company number 13103129) whose registered office is at Oyster Hill Forge Clay Lane, Headley, Epsom, Surrey, United Kingdom, KT18 6JX.Super Llama provides video content and production and strategic services for branded video content.
1.1 Super Llama agrees to provide creative services as outlined in the proposal . This may include,but is not limited to:• Video production and editing• Creative direction and concept development• Photography• Social media strategy and content production1.2 We will complete the work stated in the proposal by the date agreed at commencement of the project, subject to any changes in project scope or additional client requests.
2.1 All invoices are due within 30 days of the invoice date, as per our published Terms and Conditions.2.2 Upon acceptance of the quote. The Client will receive an invoice for the full amount but only 50% is due for the deposit immediately. The remaining balance is discussed in point 2.3.2.3 Once the work has been completed and signed off by the client. The remaining balance and any extra charges (agreed and discussed before Super Llama starts work on the project) is due by the date specified on the invoice.2.4 Late Payments: Automated reminders are sent 2 days before the invoice due date. There is a 1 week grace period after the invoice due date where no late fees will be applied. Once that week has passed there is a flat rate of £50 per week for late payments.
3.1 Any changes to the agreed project or deliverables must be confirmed in writing (for example,by email) before the additional work begins. Additional costs or delays resulting from such changes will be agreed before further work is carried out.
4.1 The Client agrees to:• Provide all necessary information, access and approvals in a timely manner.• Ensure that any materials supplied do not infringe third-party rights.• Respond to review and feedback requests promptly to maintain project timelines.
5.1 Unless otherwise stated in the Project Plan, the Client is entitled to up to three (3) hours of revisions per project (e.g., per video, design or photo selection).5.2 A “revision” means reasonable changes or adjustments to existing work that align with the original agreed brief.5.3 Requests that introduce new concepts, significant creative redirection or additional deliverables are considered out of scope and will require a separate quote or written approvalbefore work continues.5.4 Feedback and approval requests will be provided via email or another agreed communication method.5.5 Once a deliverable has been approved (verbally or in writing), any further changes may becharged at our standard hourly or day rate.5.6 Timely feedback and approvals are essential to meet agreed deadlines. Delays in Client responses may result in adjustments to the delivery schedule or additional costs.
6.1 Upon full payment, the Client will receive a license to use the final deliverables for the purposes outlined in the Project Plan.6.2 Raw footage, project files and working documents remain the property of Super Llama unless otherwise agreed in writing.6.3 Super Llama retains the right to showcase completed work in our portfolio, website and social channels unless otherwise requested in writing by the Client.
7.1 All Confidential Information disclosed by a party to the other party (before or after the date of the Agreement), shall be held in confidence and used only for the purpose of performing the Agreement and using the Deliverables.
8.1 Nothing in the Agreement limits or excludes either party’s liability for:• Death or personal injury caused by negligence;• Fraud or fraudulent misrepresentation; or• Any other liability which cannot be limited or excluded by law.8.2 Except as stated above, Super Llama’s total liability for any claim arising out of or in connection with the Agreement (whether in contract or otherwise) shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.8.3 Super Llama shall not be liable for any indirect or consequential losses, including but not limited to loss of profit, revenue, goodwill or business reputation.
10.1 Either party may terminate the Agreement by written notice if the other party:• Fails to pay amounts due within 30 days of written notice; or• Commits a material breach and fails to remedy it within 14 days of notice.10.2 In the event of termination, the Client will pay for all work completed and approved up tothe date of termination.
11.1 The Agreement is governed by and construed in accordance with the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts.
12. The Agreement and the accompanying proposal constitute the entire agreement between the parties and supersede any prior discussions or understandings.
